Principles of good governance
As a Company quoted on AIM, a market operated by the London Stock Exchange, we are not required to comply with the principles set out in Section 1 of the Combined Code on Corporate Governance (“the Combined Code”). However, the Group has complied with the provisions of the Combined Code with the following exception:
- Jeff Hewitt, Chairman of the Group, was appointed Chairman of the Audit Committee on 26 February 2008. Under the Combined Code, the Chairman of the Group should not also be Chairman of the Audit Committee.
The composition of the Board is considered appropriate given the size and complexity of the Group’s operations.
